Terms & Conditions

These Terms apply to the MusicGPT AI web application and related services operated by MusicGPT AI (the “Application”). MusicGPT AI is the “Service Provider”.

License to use the Application

Subject to your compliance with these Terms, the Service Provider grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Application on a computer for personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works from, reverse engineer, decompile, or disassemble the Application except to the extent expressly permitted by applicable law.

Intellectual Property

The Service Provider retains all intellectual property rights in the Application, including its code, design, trademarks, service marks, trade names, logos, and branding. Nothing grants you a license or right to use those marks or branding. You agree not to remove, alter, or obscure proprietary notices. Unauthorized copying, modification, source-code extraction, translation, or derivative versions are prohibited.

Termination

The Service Provider may suspend access for a material breach, giving written notice and 14 days to cure where the breach can be cured. It may suspend or terminate access immediately for violations of law, intellectual-property infringement, or activity that could harm users or the Service Provider.

On termination, your right to use the Application ends and you must delete all copies from your devices. You represent that you are legally permitted to use it in your jurisdiction and are at least 16, or that a parent or legal guardian has accepted these Terms on your behalf.

User-Generated Content and Acceptable Use

If the Application allows posting, sharing, or uploading, you must not submit content that is illegal; infringes third-party rights; is abusive, threatening, harassing, defamatory, discriminatory, hateful, misleading, false, deceptive, spam, phishing, malware, explicit violence, or sexual content unless appropriately age-gated; or violates privacy or personal-data rights.

The Service Provider may remove or restrict violating content, suspend or terminate repeat violators, cooperate with law enforcement, and moderate, filter, or hide content. Content may be visible to other users or the public depending on Application functionality.

Report violating, infringing, or unlawful content to friends@musicgpt-ai.com with enough information to identify and assess it. Where available, you may also report, block, or mute within the interface. Affected users may request review at the same address; appeals will be answered within a reasonable period with reasons, subject to applicable law.

By submitting User-Generated Content, you grant the Service Provider a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform it in connection with the Application and the Service Provider's business. This does not permit independent sale or sublicensing to third parties. You represent that you control the required rights. Personal-data processing is governed by the Privacy Policy; do not post others' data without consent.

Service changes, data, and third parties

The Service Provider may modify the Application or charge for services, with charges clearly communicated. It stores and processes personal data provided to deliver the Service; you are responsible for securing your computer and access.

Some features require an active internet connection. The Service Provider is not responsible for reduced functionality from lack of access, exhausted data allowance, internet-provider charges, or a device that is unavailable. Consumer-protection rights that cannot lawfully be excluded remain unaffected.

Limitation of Liability

To the fullest extent permitted by law, the Service Provider is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption. This does not limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot be excluded by law. Total liability for a claim will not exceed amounts paid for the Application in the preceding 12 months, or the minimum required by law, whichever is greater. The Service Provider accepts no liability for loss from reliance on third-party information or its inaccuracies.

Indemnification and AI

To the fullest extent permitted by law, you agree to indemnify and hold harmless the Service Provider and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your breach or intentional misuse, including violating User-Generated Content. This does not apply to the Service Provider's own negligence, breach, or violation of law. The Application uses AI technologies to provide features; you acknowledge that AI may process data and deliver functionality in compliance with applicable law.

Updates and discontinuation

The Service Provider may update, cease to support earlier versions, or cease providing the Application. You should accept offered updates. Unless informed otherwise, termination ends granted rights and licenses and requires you to stop using and, if necessary, delete the Application.

Governing Law and Jurisdiction

These Terms are governed by the law of the jurisdiction in which the Service Provider is established, excluding conflict-of-law rules, except where mandatory consumer-protection law provides otherwise. Disputes will be brought before courts with jurisdiction under applicable law; this does not limit mandatory rights to bring a claim in a competent court.

DSA Compliance

Where the Application qualifies as an intermediary service under the Digital Services Act, the Service Provider's point of contact for EU authorities and users is friends@musicgpt-ai.com. Restrictions will include a statement of reasons and available redress. Notices of allegedly illegal content will be processed promptly and diligently. Eligible moderation disputes may be submitted to a certified out-of-court settlement body. Transparency reports are available on request. These provisions apply only to the extent the DSA applies and do not limit consumer or data-protection rights.

Severability, Entire Agreement, and Changes

If any provision is invalid, illegal, or unenforceable, it will be modified only as necessary and the remaining provisions remain effective. These Terms and the Privacy Policy are the entire agreement concerning the Application. The Service Provider may update these Terms and will post new terms on this page; previous versions are available on request.
